Raceday Promoter Terms of Use

Agreement to Terms

These Promoter Terms of Use ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of a company, association, club, race facility, sanctioning body, event organizer, or other entity ("Promoter," "you," or "your"), and Get Raceday, LLC, doing business as Raceday ("Raceday," "we," "us," or "our").

These Terms govern your access to and use of the Raceday software platform, Raceday.pro and its subdomains, getraceday.com, Raceday mobile applications, administrative tools, messaging services, payment services, and related products and services, collectively referred to as the "Service."

By creating a Promoter account, accessing the Service, or continuing to use the Service, you represent that you have read, understood, and agree to be bound by these Terms and that you have the legal authority to enter into these Terms on behalf of the Promoter organization you represent.

If you do not agree to these Terms, you may not use the Service.

About Raceday

Raceday is a Software as a Service ("SaaS") platform designed for motorsports organizations. The Service provides tools that may include memberships, event registration, classes and divisions, number reservations, waivers, products and add-ons, payments, communications, race setup, participant management, timing and scoring integrations, race results, reports, and other event-management functions.

Raceday provides the technology used to manage these activities. Raceday does not operate, sanction, supervise, manage, inspect, or control your motorsports events.

The Promoter is solely responsible for its organization and events, including its rules, membership requirements, participant eligibility, classes, competition numbers, schedules, pricing, refunds, cancellations, waivers, insurance, safety requirements, event operations, race procedures, results, and communications with participants.

Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to create or administer a Promoter account.

If you use Raceday on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

You agree to provide accurate, current, and complete account information and to update that information when necessary.

Account Security

You are responsible for maintaining the confidentiality and security of your Raceday account, passwords, administrator credentials, and authorized users.

You are responsible for activity performed through your Promoter account, including activity performed by employees, contractors, volunteers, officials, or other individuals to whom you grant access.

You must promptly notify Raceday if you believe that your account, password, payment credentials, participant information, or other information has been accessed or used without authorization.

Raceday is not responsible for loss or damage resulting from your failure to maintain appropriate account security.

Your Use of Raceday

You may use Raceday to administer legitimate motorsports, racing, automotive, powersports, competition, exhibition, membership, or related organizational activities.

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You are responsible for configuring your Raceday account appropriately for your organization and for reviewing your event, registration, membership, pricing, class, number, waiver, communication, and other settings before making them available to participants.

Promoter Responsibility for Events

You acknowledge that Raceday is a technology provider and is not a party to the sporting, operational, or safety decisions made by your organization.

The Promoter is solely responsible for:

  • Event rules and regulations
  • Participant eligibility
  • Membership requirements
  • Class and division structures
  • Competition number assignments and reservations
  • Registration requirements
  • Event schedules
  • Rain-outs, cancellations, postponements, and relocations
  • Refund and credit policies
  • Participant waivers and releases
  • Insurance requirements
  • Facility and event safety
  • Technical inspection and competition rules
  • Race procedures and officiating
  • Timing, scoring, penalties, standings, and results
  • Communications with participants concerning Promoter activities

You are responsible for ensuring that information you publish through Raceday is accurate and appropriate for your organization.

Participant Data and Privacy

Raceday allows Promoters to collect and access information from participants, members, registrants, parents, guardians, crew members, and others who interact with the Promoter through the Service.

Depending on the features you use, this information may include names, addresses, email addresses, telephone numbers, dates of birth, membership information, competition information, vehicle information, registration records, waiver records, orders, transaction information, communication preferences, and other information.

You agree that you will access and use participant information only for legitimate purposes associated with your organization, memberships, events, services, and other activities for which the information was provided or for which you otherwise have a lawful basis to use it.

You may not sell participant Personal Data obtained through Raceday or disclose it to unrelated third parties for their independent marketing purposes without appropriate authorization.

You are responsible for your organization's independent collection, export, storage, processing, disclosure, and use of participant information after it has been obtained through Raceday.

Your use of participant information must comply with applicable privacy laws, communication laws, your own published policies, and the Raceday Privacy Policy.

Text Messaging (SMS)

Raceday Messaging Tools

Raceday may provide tools that allow Promoters to send SMS, MMS, RCS, or other mobile messages to participants, members, registrants, officials, volunteers, or other individuals associated with the Promoter.

When you use these tools to send a message, the Promoter is the sender of that message and Raceday is providing the technology used to deliver it.

The Promoter is responsible for the content of its messages and for ensuring that it has the legal authority and appropriate consent to send them.

Consent Requirements

You may send text messages through Raceday only to recipients from whom you have obtained any consent required by applicable law, regulation, carrier requirements, messaging-provider requirements, or Raceday policy.

Providing a telephone number to your organization does not automatically constitute permission to send every type of text message.

Where affirmative consent is required, you are responsible for ensuring that the recipient understands:

  • The identity of the organization that will send messages
  • The general type or purpose of the messages
  • That message frequency may vary
  • That message and data rates may apply
  • How to opt out of future messages

You may not purchase, rent, scrape, harvest, or otherwise acquire telephone numbers for use with Raceday messaging services where the recipients have not provided appropriate permission to receive the messages you intend to send.

You may not import or upload a list of telephone numbers and represent that consent exists when you cannot reasonably demonstrate the source and scope of that consent.

Scope of Consent

You may use a recipient's consent only for communications reasonably consistent with the purpose for which that consent was provided.

For example, consent to receive event-related communications does not automatically authorize unrelated advertising, marketing, fundraising, or promotional messages.

Consent provided to your organization does not constitute consent for another Promoter, sponsor, advertiser, affiliate, or unrelated organization to send messages.

Likewise, consent that a participant separately provides to Raceday does not automatically constitute consent for your organization to send unrelated messages.

Typical Event Communications

When supported by the applicable consent, Promoter text messages may include information such as:

  • Registration reminders
  • Membership information
  • Waiver reminders
  • Event schedules
  • Schedule changes
  • Weather or rain-out notices
  • Event cancellations or postponements
  • Staging and lineup information
  • Safety or operational notices
  • Class or division information
  • Event-day instructions
  • Results or other information related to events in which the recipient participates

Opt-Out Requests

You must honor a recipient's request to stop receiving messages.

Raceday messaging systems may automatically process recognized opt-out requests, including a recipient replying STOP. You may not intentionally bypass, reverse, disable, or otherwise defeat an opt-out recorded by Raceday or its messaging provider.

If a recipient communicates an opt-out request to you through another reasonable method, including directly contacting your organization, you are responsible for honoring that request and, where necessary, updating the recipient's communication preferences within Raceday.

You may send a confirmation acknowledging an opt-out when permitted, but you may not continue sending messages from the applicable messaging program after consent has been withdrawn unless the recipient subsequently provides new consent.

HELP and Customer Assistance

Recipients may be instructed to reply HELP for information regarding a messaging program.

The Promoter is responsible for responding to questions concerning its events, memberships, schedules, registrations, policies, or message content. Raceday may provide technical assistance concerning operation of the messaging platform.

Messaging Records

Raceday may maintain records associated with messaging, including telephone numbers, consent information, opt-in and opt-out activity, message content, delivery information, timestamps, and other records reasonably necessary to operate the Service, document compliance, investigate complaints, and honor communication preferences.

You agree to cooperate with reasonable requests from Raceday for information demonstrating that appropriate consent was obtained.

Messaging Restrictions

You may not use Raceday messaging services to send:

  • Messages to recipients who have opted out
  • Unsolicited messages where consent is required
  • Deceptive or misleading messages
  • Messages that conceal or misrepresent the sender
  • Illegal, fraudulent, threatening, abusive, or harassing messages
  • Messages prohibited by telecommunications carriers or messaging providers
  • Content that violates applicable law or Raceday policies

Raceday may suspend, restrict, or terminate your access to messaging features if we reasonably believe your use presents a compliance risk, generates excessive complaints, violates these Terms, violates messaging-provider requirements, or threatens the availability or reputation of Raceday's messaging services.

Messaging Provider and Carrier Limitations

Text messaging is provided using telecommunications carriers and third-party messaging providers. Message delivery is not guaranteed.

Messages may be delayed, filtered, rejected, blocked, or otherwise affected by wireless carriers, recipient devices, network conditions, regulatory requirements, or third-party systems outside Raceday's control.

Raceday is not responsible for delayed or undelivered messages or for a recipient's failure to receive or read a message.

Privacy Policy

Your use of Raceday is also subject to the Raceday Privacy Policy, which describes how Raceday collects, processes, stores, and shares Personal Data.

Your organization may have additional obligations concerning participant data. Nothing in the Raceday Privacy Policy replaces a Promoter's responsibility to comply with laws or regulations applicable to the Promoter's independent collection and use of Personal Data.

Fees and Payment

Raceday may charge subscription fees, transaction fees, service fees, messaging fees, support fees, custom-development fees, or other charges associated with use of the Service.

You agree to pay all fees disclosed to you and applicable to your account or use of the Service.

Unless otherwise agreed in writing, all payments are made in U.S. dollars.

You agree to maintain accurate billing information and, where required, a valid payment method on file.

You authorize Raceday and its payment processors to charge your payment method for amounts that you owe under these Terms, including recurring subscription charges and fees generated through use of Raceday features.

Applicable taxes may be added where required by law.

Driver Pay and Promoter Pay

Raceday may offer different methods of allocating transaction and payment-processing fees.

Driver Pay

Under the Driver Pay model, applicable Raceday transaction fees and payment-processing fees may be added to the participant's order.

Promoter Pay

Under the Promoter Pay model, applicable Raceday transaction fees and payment-processing fees may be deducted from amounts otherwise payable to the Promoter.

The fee model applicable to a transaction is determined by the configuration of your Raceday account and the applicable service arrangement.

Refunds

The Promoter determines its own refund, cancellation, transfer, and credit policies for participant transactions.

When a Promoter authorizes a refund through Raceday, payment-processing fees may be refunded or credited to the extent permitted by the applicable payment processor and current payment-processing rules.

Raceday transaction or service fees are non-refundable unless Raceday expressly agrees otherwise in writing.

You are responsible for ensuring that your refund and cancellation policies are clearly communicated to participants.

Onsite and Cash Registrations

When you use Raceday to process an onsite, cash, check, complimentary, or other registration that does not process the participant's payment through Raceday's normal online credit-card transaction flow, an applicable Raceday transaction fee may still be charged for use of the Service.

You agree to pay those fees promptly.

Raceday may require a valid payment card on file before onsite or cash-registration functionality is enabled. Applicable fees may be charged to that payment method after the event or according to the billing schedule associated with your account.

Raceday is not required to provide paper invoices or accept checks for these charges.

A transaction fee may be waived only when the waiver has been approved by Raceday in writing.

Manipulating or intentionally misusing onsite, cash, complimentary, or other transaction types for the purpose of avoiding Raceday fees constitutes a material violation of these Terms and may result in suspension or termination of your account.

Subscriptions, Support, Maintenance, and Storage

Access to Raceday may require an active Support, Maintenance, Storage, subscription, or other service plan.

Your account must remain in good standing to continue using paid portions of the Service.

Recurring fees may be charged to the payment method associated with your account on a monthly, annual, or other agreed billing cycle.

Unless otherwise expressly agreed in writing, subscription, Support, Maintenance, and Storage fees are non-refundable.

Fees are exclusive of taxes, duties, assessments, or similar governmental charges for which you are responsible, except taxes imposed directly on Raceday's income. Where required, Raceday may collect and remit taxes associated with the Service.

Custom Functionality

Raceday may configure available features to accommodate the way your organization conducts its events. Configuration of existing Raceday functionality does not constitute custom software development.

If you request functionality that is outside the existing scope of the Raceday Service, Raceday may separately propose design, development, integration, implementation, maintenance, or other custom services.

Any custom work, pricing, ownership terms, support obligations, or delivery expectations may be governed by a separate written agreement or proposal.

Unless expressly agreed otherwise in writing, Raceday is provided "AS IS" and Raceday is not obligated to develop a feature solely because a Promoter requests it.

Customer Service and Support

Raceday provides technical support to Promoters through the support channels made available for their account.

Standard customer service may be available by telephone, text message, email, or other methods during posted business hours.

Certain accounts may have access to additional or emergency support channels. Any special support telephone number or support method provided to you is intended for authorized Promoter personnel and should be used according to the instructions associated with your account.

The Promoter is responsible for customer service relating to its participants.

Questions from drivers, crew members, spectators, or other participants concerning the following should generally be handled by the Promoter:

  • Rules and regulations
  • Registrations
  • Memberships
  • Classes and divisions
  • Competition numbers
  • Schedules
  • Refunds
  • Rain-outs and cancellations
  • Event policies
  • Waivers
  • Results and scoring decisions

Raceday may assist participants with limited technical issues concerning operation of the Raceday platform but is not responsible for interpreting or enforcing Promoter policies.

Intellectual Property Rights

The Raceday Service, including its software, source code, databases, interfaces, designs, graphics, functionality, documentation, trademarks, logos, and other proprietary materials, is owned by or licensed to Get Raceday, LLC and is protected by applicable intellectual property laws.

Subject to these Terms and payment of applicable fees, Raceday grants you a limited, non-exclusive, non-transferable right to access and use the Service for your organization's legitimate activities.

You may not copy, reproduce, sell, resell, sublicense, reverse engineer, decompile, disassemble, modify, create derivative works from, or otherwise exploit Raceday software or proprietary technology except where expressly authorized in writing or where such restriction is prohibited by applicable law.

Your Content

You retain ownership of content and materials that you provide to Raceday, including event information, rules, logos, photographs, descriptions, results, schedules, membership information, and other materials ("Promoter Content").

You grant Raceday a non-exclusive license to host, store, reproduce, display, process, transmit, and otherwise use Promoter Content as reasonably necessary to provide, maintain, promote, secure, and improve the Service and to provide the functionality you request.

You represent that you have the rights and permissions necessary to provide Promoter Content to Raceday and to authorize its use as described in these Terms.

Prohibited Activities

You may not use Raceday to:

  • Violate any applicable law or regulation
  • Gain unauthorized access to another account or system
  • Collect or use participant information for unauthorized purposes
  • Send spam or unauthorized communications
  • Transmit malware, viruses, or harmful code
  • Interfere with or disrupt operation of the Service
  • Circumvent security, access, billing, or usage controls
  • Scrape, harvest, or systematically extract Raceday data without authorization
  • Impersonate another person or organization
  • Submit fraudulent registrations, transactions, refunds, or account information
  • Use Raceday in a manner that infringes intellectual property, privacy, publicity, or other rights
  • Harass, threaten, abuse, or intimidate Raceday personnel, users, or participants
  • Attempt to avoid fees legitimately owed to Raceday

Third-Party Services

Raceday relies on third-party providers for services that may include hosting, networking, storage, payment processing, email, text messaging, analytics, mapping, identity verification, and other functionality.

Your use of certain Raceday features may therefore be subject to limitations, policies, or requirements imposed by third-party providers, financial institutions, telecommunications providers, or wireless carriers.

Raceday is not responsible for outages, delays, restrictions, failures, or other events caused by third-party systems outside our reasonable control.

Service Management

Raceday reserves the right to manage the Service in order to maintain security, reliability, compliance, performance, and availability.

We may investigate suspected misuse, remove or restrict content, suspend features, limit access, or take other reasonable action when necessary to protect Raceday, participants, Promoters, third parties, or the integrity of the Service.

Service Modifications and Interruptions

Raceday may add, modify, replace, restrict, or discontinue features of the Service from time to time.

We do not guarantee that every feature will remain available indefinitely or that the Service will be uninterrupted or error-free.

The Service may occasionally be unavailable due to maintenance, updates, hardware or software failure, third-party outages, telecommunications problems, security events, or other circumstances.

Electronic Communications and Signatures

By using Raceday, you agree to conduct transactions electronically.

You consent to receive agreements, notices, disclosures, invoices, transaction records, policies, and other communications electronically through Raceday, email, or other electronic methods.

You agree that electronic records and electronic signatures may satisfy legal requirements that documents or signatures be in writing to the extent permitted by applicable law.

This general consent to electronic communications does not by itself constitute consent to receive SMS marketing messages where separate consent is required.

Account Suspension and Termination

You may discontinue use of Raceday or cancel a subscription according to the terms applicable to your account.

Cancellation of a subscription does not eliminate amounts already owed to Raceday.

Raceday may suspend, restrict, or terminate your account or access to particular features if:

  • You fail to pay amounts when due
  • You violate these Terms
  • You misuse participant information
  • You violate messaging or SMS requirements
  • Your activity creates a security, legal, financial, or compliance risk
  • Your use of the Service threatens Raceday's systems, reputation, providers, or other users
  • We reasonably suspect fraud or unlawful activity

When practical, Raceday may provide an opportunity to cure a violation before terminating an account, but we are not required to do so when immediate action is reasonably necessary.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, GET RACEDAY, LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER EXPRESS OR IMPLIED WARRANTIES.

RACEDAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, COMPLETELY SECURE, ERROR-FREE, OR SUITABLE FOR EVERY PROMOTER'S PARTICULAR REQUIREMENTS.

RACEDAY DOES NOT GUARANTEE THE ACCURACY OF INFORMATION ENTERED OR CONTROLLED BY PROMOTERS, PARTICIPANTS, TIMING PROVIDERS, SCORING PROVIDERS, PAYMENT PROCESSORS, OR OTHER THIRD PARTIES.

Motorsports Activities

Motorsports activities involve inherent risks, including serious bodily injury, death, and property damage.

Raceday provides software used in connection with motorsports activities but does not control the physical operation, safety, inspection, officiating, sanctioning, or management of Promoter events.

The Promoter is responsible for its own safety procedures, insurance, waivers, releases, personnel, facilities, rules, and event operations.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GET RACEDAY, LLC, RACEDAY, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF DATA, OR SIMILAR DAMAGES ARISING FROM OR RELATING TO THE SERVICE.

RACEDAY WILL NOT BE LIABLE FOR PERSONAL INJURY, DEATH, PROPERTY DAMAGE, EVENT CANCELLATIONS, EVENT OPERATIONS, PARTICIPANT CONDUCT, PROMOTER DECISIONS, RULES ENFORCEMENT, OFFICIATING, RACE RESULTS, OR OTHER MATTERS ARISING FROM THE OPERATION OF A PROMOTER'S EVENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, GET RACEDAY, LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED $2,500.00 USD.

Some jurisdictions do not allow certain limitations or exclusions of liability. Where such restrictions apply, these provisions will apply only to the maximum extent permitted by law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Get Raceday, LLC, Raceday, and their owners, officers, employees, contractors, agents, service providers, successors, and assigns from claims, liabilities, damages, judgments, losses, penalties, fines, costs, and reasonable attorneys' fees arising from or related to:

  • Your use or misuse of the Service
  • Your breach of these Terms
  • Your organization or operation of an event
  • Your rules, policies, waivers, refunds, or participant decisions
  • Your violation of applicable law
  • Your infringement of another person's rights
  • Your collection, export, disclosure, or use of participant information
  • Your Promoter Content
  • Messages or communications sent by or on behalf of your organization
  • Your failure to obtain legally required consent before sending text messages
  • Your failure to honor an SMS or other communication opt-out request
  • Your violation of telecommunications, privacy, marketing, or messaging requirements

Raceday may assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate with that defense.

Data and Backups

Raceday uses commercially reasonable systems and practices to operate and maintain the Service but cannot guarantee that data will never be lost, corrupted, delayed, altered, or unavailable.

You are responsible for retaining copies of information that your organization is independently required to preserve.

Raceday may retain certain records as necessary for legitimate business, security, compliance, tax, payment, dispute-resolution, messaging, or legal purposes even after an account becomes inactive.

Governing Law

These Terms and your use of the Service are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable federal law controls.

Dispute Resolution

Informal Resolution

Before initiating arbitration or litigation, the parties agree to attempt in good faith to resolve disputes arising from these Terms informally for at least thirty (30) days after written notice of the dispute is provided.

Binding Arbitration

Except for disputes specifically excluded below, disputes that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under the rules applicable to the dispute.

BY AGREEING TO ARBITRATION, EACH PARTY UNDERSTANDS THAT IT IS WAIVING THE RIGHT TO HAVE THE DISPUTE DECIDED BY A JUDGE OR JURY IN COURT, EXCEPT WHERE SUCH A WAIVER IS NOT ENFORCEABLE UNDER APPLICABLE LAW.

Unless otherwise required by applicable law or AAA rules, arbitration will take place in Maricopa County, Arizona, or may be conducted remotely by agreement of the parties or as permitted by the applicable arbitration rules.

Individual Proceedings

To the fullest extent permitted by law, disputes will be resolved on an individual basis. Neither party may bring or participate in a class, collective, consolidated, or representative proceeding concerning a dispute subject to arbitration under these Terms.

Exceptions

The parties may seek appropriate court relief for disputes involving intellectual property rights, unauthorized system access, theft, fraud, misuse of confidential information, or requests for temporary or injunctive relief.

If a dispute proceeds in court rather than arbitration, the parties consent to jurisdiction and venue in the state or federal courts with jurisdiction in Maricopa County, Arizona, unless applicable law requires otherwise.

Changes to These Terms

Raceday may update these Terms from time to time to reflect changes to the Service, pricing, business practices, legal requirements, messaging requirements, or other circumstances.

The Effective Date at the top of this page identifies the most recent revision.

When appropriate, we may provide notice of material changes by email, through the Service, or by another reasonable method.

Your continued use of Raceday after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Miscellaneous

These Terms, together with the Raceday Privacy Policy, your applicable service plan, and any other written agreement expressly incorporated into these Terms, constitute the agreement between you and Raceday concerning your use of the Service.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

Failure by Raceday to enforce a provision of these Terms does not waive our right to enforce that provision later.

You may not assign or transfer your rights under these Terms without Raceday's written consent. Raceday may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar business transaction.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship between Raceday and the Promoter.
